Company representation: who can authorize the representative?
Identify whether the principal is the company itself or an individual acting in their personal capacity. Ask company counsel and the receiver what evidence they need of company existence, the signatory’s office and authority, and the decision authorizing the appointment. A notary’s confirmation of a human signer’s identity is not a determination that the company approved the act.
Florida section 709.2103 excludes powers created by a person other than an individual from that part’s general regime. Do not automatically apply the individual Florida POA witness rule to a corporate instrument. For a specific foreign receiver, HM Land Registry guide 78, section 5.3.5, requires evidence including a certified foreign power, relevant translation and legal opinion for the overseas-company land-registration situation it describes. That is not a worldwide corporate checklist.
Foreign court: do you need a power or a different appointment?
Ask the lawyer handling the proceeding and the court’s published filing guidance which representative can appear, what appointment is required and whether particular acts need separate approval or personal attendance. Describe the case and requested act to that professional. An apostille cannot license an otherwise ineligible person to practice law or appear for someone else.
Spain’s Ministry of Justice offers free Apud Acta authorizations before the judicial officer or through its electronic judicial service; electronic access requires the stated digital identification. This verified alternative shows why a Florida notarized POA is not automatically the necessary first purchase for a Spanish court file. Ask Spanish counsel whether that route is available for your person, case and required powers; do not assume electronic eligibility.
Collecting certificates abroad: is a representative necessary?
Identify the exact record and issuing office, then check whether you can order it directly or whether a representative is needed. Ask whether the office accepts a simple authorization, requires a prescribed form or needs a legally prepared power. Confirm the requester’s and collector’s identification and the permitted delivery address. Do not assume permission to collect one record grants access to all personal records.
For example, the official GRO page provides an order route for birth, death, marriage and civil-partnership certificates in England and Wales. Check that published route before assuming an overseas representative and broad POA are necessary. This example does not establish access to a restricted court, medical, police or adoption file. The custodian must confirm the particular record’s eligibility and authorization requirements.
Marriage paperwork: which acts require personal attendance?
Tell the civil registry whether the requested task is collecting a certificate, filing preliminary documents, signing a marital-property instrument or participating in the marriage ceremony by proxy. Ask the registry and qualified local adviser which acts can be delegated and which person must attend. A general appointment should not be described as permission for every marriage-related act.
Spain’s Civil Code article 55 provides a specific proxy-marriage rule: a special authentic power is required, the other future spouse attends personally, and the intended spouse must be identified; the competent authority reviews validity. That narrow rule is not a worldwide entitlement to proxy marriage. Confirm the registry’s execution, authentication and translation requirements before anyone signs in Florida.
Which signature would the apostille authenticate?
For company, court, records and marriage procedures, the exact notarial requirement has not been established for every country or receiver. The examples above include legal opinions, judicial authorizations and direct record orders, so a notarial stamp is not a substitute for identifying the procedure. Ask whether the accepted document is a Florida notarized private instrument, a consular instrument or the destination authority’s own appointment.
If the receiver requests apostille, identify which public signature is to be authenticated and the competent issuing authority. Florida authenticates a qualifying Florida notarial signature; it does not authenticate the foreign company’s existence or confirm the agent’s court status. The consular route must be assessed separately, because diplomatic and consular documents are outside the Apostille Convention’s ordinary scope.
Must supporting authority documents also be translated?
Ask the company’s receiver about translations of corporate authority evidence as well as the power itself. Ask the court about its accepted language and translator certification, the record custodian about the authorization form, and the civil registry about the complete marriage packet. These are four different requests; one general certified translation label does not resolve them.
Have the receiver confirm whether it needs a translation of the notarial certificate, apostille and any lawyer’s opinion. Determine who may certify the translation before commissioning it. The exact language and translation certification for the unidentified foreign procedure remains outside this guide’s confirmed scope.
Can the approved instrument be signed in Miami and sent abroad?
The location alone does not answer acceptance. Once the receiver and adviser approve the instrument and execution route, arrange the required Miami signing step, authentication if required, translation and tracked delivery. For a company, confirm the signatory’s representative capacity; for a court, any filing deadline; for record collection, the authorized collector; for marriage, any mandatory personal attendance.
A courier can deliver a packet, but cannot satisfy a missed personal act or create powers absent from the legally approved instrument. Request separate costs and timing for preparation, government processing, translation and transport. OrazAva offers administrative coordination, not legal drafting or a decision on who may act for an individual or company.

Is a company officer’s notarized signature proof of corporate authority?
The signature authentication alone does not establish the underlying company approval or capacity. Ask counsel and the receiver about the evidence for that issue.
Do I always need a power to collect a foreign certificate?
No universal requirement is verified. Start with the custodian’s direct-order or representative procedure and the exact record’s access rules.
Does proxy marriage mean both people may stay in the United States?
Do not assume that. The Spanish example specifically requires the other future spouse to attend personally. Confirm the actual jurisdiction and registry before making travel plans.
